1. Introduction & Parties
Bookly Technologies LTD ("Bookly", "we", "us", "our"), a limited liability company incorporated in Ghana on 7 July 2026, operates the Bookly platform — a digital marketplace platform that connects students seeking hostel accommodation with hostel owners and operators in Ghana. Bookly operates as a technology facilitator only — it is not a landlord, property manager, tenancy agent, or party to any rental agreement between a Student and a Hostel Owner. These Terms & Conditions constitute a legally binding agreement between: • Students: any individual who registers on the Bookly platform to search for, view, or book hostel accommodation; • Hostel Owners: any individual or entity that registers on the Bookly platform to list, manage, and receive payments for hostel accommodation; and • Bookly: Bookly Technologies LTD, the platform operator. "Bookly" is the brand name under which Bookly Technologies LTD (a limited liability company incorporated in Ghana on 7 July 2026) operates the platform. This does not affect a user's rights or remedies under Ghanaian law. By creating an account, listing a property, or completing a booking, you confirm that you have read, understood, and agreed to be bound by these Terms. If you do not agree, you must not use the platform.
2. Eligibility
To use Bookly, you must: • Be at least 18 years of age; • Have the legal capacity to enter into binding agreements under Ghanaian law; • Provide accurate, truthful, and complete information during registration; • Maintain and promptly update your account information to keep it accurate. Bookly reserves the right to suspend or permanently remove any account where false or misleading information is discovered.
3. Bookly's Role as a Facilitator
Bookly is a technology platform only. We do not own, control, or manage any hostel property listed on our platform. • No tenancy relationship: Bookly is not your landlord and is not a party to any tenancy or accommodation agreement. The rental agreement is solely between the Student and the Hostel Owner. • No money custody: Bookly does not hold, escrow, or retain any student payment. All payments are processed by Paystack and disbursed directly to the Hostel Owner's registered account immediately upon successful transaction. Bookly has no ability to freeze, hold, or reverse funds once disbursed. • Verified listings: Bookly applies a verification process to listings before they appear on the platform. This may include reviewing submitted documents and photos, and where practicable, conducting an on-site inspection. Verification is a point-in-time check; the ongoing accuracy of a listing after approval is the responsibility of the Hostel Owner. If a student finds that a listing does not match the property at move-in, they should report it through the app immediately so Bookly can act on it. • No guarantee of students: Bookly does not verify the academic enrolment, identity, or financial standing of students beyond the information provided at registration. Because payments go directly to Hostel Owners, Bookly cannot execute refunds from its own funds. All refund obligations described in Section 7 are obligations of the Hostel Owner. Bookly will enforce those obligations through suspension, removal, and (where appropriate) cooperation with authorities, but cannot substitute its own funds for an owner's refund.
4. Account Registration & Security
Each user may hold only one account. Sharing accounts between multiple individuals is prohibited. You are solely responsible for: • Maintaining the confidentiality of your password and login credentials; • All activity that occurs under your account; • Notifying Bookly immediately at support@booklyapp.co if you suspect any unauthorised access. Hostel Owner accounts are subject to a manual approval process before activation. Bookly reserves the right to reject any application without providing reasons.
5. Hostel Listings & Owner Obligations
5.1 Listing Accuracy
By submitting a listing on Bookly, the Hostel Owner warrants that: • All photographs, videos, and descriptions accurately represent the property as it exists at the time of listing and at move-in; • All advertised amenities are present and in working order at the time of move-in (the Hostel Owner remains responsible for diligent maintenance during occupancy, but is not responsible for outages outside their control such as utility company failures); • The listed price is the actual price payable, plus any Paystack transaction fee disclosed at checkout. There are no other hidden charges; • The property is legally owned or lawfully managed by the Hostel Owner; • The property complies with applicable Ghanaian health, safety, and building standards.
5.2 False Listing Policy
If a student raises a complaint that a listing is materially false or misleading, Bookly will: 1. Acknowledge the complaint within 48 hours; 2. Notify the Hostel Owner of the specific allegation; 3. Require the Hostel Owner to provide evidence within 48 hours; 4. Make a determination based on the evidence provided; 5. If the complaint is upheld: require immediate rectification, and/or suspend or permanently remove the listing and/or account. A false-listing finding triggers a refund obligation on the Hostel Owner per Section 7. Bookly will enforce that obligation but, for the reasons given in Section 3, cannot substitute its own funds.
5.3 Listing Removal
Bookly reserves the right to remove any listing at any time, without prior notice, if the listing contains false or misleading information, violates these Terms, receives multiple unresolved complaints, or is associated with a Hostel Owner who has failed to honour refund obligations.
6. Bookings & Payment
6.1 How Bookings Work
A booking is created when a student selects a room and completes a deposit payment through the Bookly platform: 1. Student selects a room and chooses full payment or part-payment (if allowed); 2. Payment is processed by Paystack and disbursed to the Hostel Owner; 3. Bookly generates a booking confirmation and records the transaction; 4. The room is marked as reserved and unavailable to other students; 5. The student moves in at semester start or as agreed; 6. The balance (if applicable) is paid through the Bookly app before the due date set by the Hostel Owner.
6.2 Deposit Amounts
Deposit amounts are set by individual Hostel Owners and may range from 20% to 80% of the total annual room price. The deposit percentage is displayed on each listing before payment.
6.3 Balance Payment
The balance of any part-payment booking must be paid through the Bookly platform using Paystack. The balance due date is set by the Hostel Owner and displayed in the student's booking details. All payments — both deposits and balances — must be made exclusively through the Bookly platform. Bookly accepts no responsibility for any payment made outside the Bookly app, including cash payments, mobile money transfers, or bank transfers made directly to a Hostel Owner.
6.4 Platform Commission
Bookly charges a commission to Hostel Owners on each successful booking. This commission is a percentage of the booking value. Students are not charged a platform fee. The price displayed on a listing is the price the student pays, plus the Paystack transaction fee disclosed at checkout.
6.5 Paystack Transaction Fees
Payments are processed by Paystack, an independent third-party payment processor. Paystack charges a transaction fee (currently approximately 1.95% + GH₵0.50 per transaction, subject to change by Paystack). This fee is added to the student's payment at checkout and is shown separately before payment is authorised.
7. Refunds & Cancellations
7.1 Student Cancellation Before Move-In
• The student is entitled to a refund of the deposit paid, minus the Paystack transaction fee incurred on the original payment (the Paystack fee is non-refundable and is borne by the cancelling student). • The cancellation request must be submitted through the Bookly app. • The Hostel Owner is obligated to process the refund within 7 business days of the cancellation being confirmed by Bookly. • A Hostel Owner who fails to process a valid pre-move-in refund will face account suspension pending resolution and may be permanently removed.
7.2 Student Cancellation After Move-In
Once a student has physically taken possession of the accommodation (moved in), no refund is available regardless of the reason, including change of mind, transfer to a different institution, personal or financial circumstances, or dissatisfaction with other students. Nothing in this clause limits a student's rights under applicable Ghanaian law in cases of serious uninhabitability, breach of the tenancy by the Hostel Owner, or any non-waivable consumer rights under the Rent Act 1963 (Act 220) or other applicable legislation.
7.3 Balance Non-Payment After Move-In
• The student remains contractually obligated to pay the balance to the Hostel Owner. • The Hostel Owner is responsible for pursuing the outstanding balance directly with the student. • Bookly does not mediate balance payment disputes between a student who has already moved in and a Hostel Owner.
7.4 Hostel Owner Cancellation
• The Hostel Owner is obligated to refund the full deposit with no deduction. The Paystack transaction fee is borne by the Hostel Owner in this case (since the cancellation is owner-initiated, not student-initiated). • The refund must be processed within 5 business days of the cancellation. • A Hostel Owner who cancels a confirmed booking without processing a full refund will face immediate account suspension and permanent removal.
7.5 Refund Summary
• Cancel before move-in (student): deposit refunded minus Paystack fee. Fee borne by student. • Owner cancels after deposit paid: full deposit refunded, no deduction. Paystack fee borne by hostel owner. • Student moves in, refuses balance: no refund. Owner pursues balance directly. • Student moves in, wants to leave early: no refund once moved in. • False listing confirmed by Bookly: full deposit refunded by hostel owner. Paystack fee borne by hostel owner. • Payment outside Bookly app: no protection — Bookly uninvolved.
7.6 How to Request a Refund
Email support@booklyapp.co with subject: "Refund Request — [Your Full Name] — [Booking ID]". Include your full name, registered email, booking ID, amount paid, date of payment, reason for cancellation, and any supporting evidence. Bookly will acknowledge your request within 48 hours and notify the Hostel Owner.
8. Student Protection & Fraud Prevention
8.1 Hostel Owner & Property Verification
Before a Hostel Owner's account is activated and their property is listed, Bookly applies a verification process. This may include reviewing submitted documents and photos and, where practicable, conducting an on-site inspection. Verification is a point-in-time check. Bookly cannot guarantee that conditions remain unchanged after the initial verification. Students are advised to view the room in person before moving in and to report any discrepancies immediately through the app.
8.2 Protecting Students from Scams
• Always pay through the app: Never pay a deposit in cash or via direct mobile money. Payments outside the app have no protection. • Verify the room exists: Before paying, request to see the actual room. If an owner refuses, do not proceed. • Screenshot your booking confirmation immediately after payment. • Report suspicious behaviour immediately to support@booklyapp.co.
8.3 If an Owner Disappears with Your Money
Because payments go directly to Hostel Owners, Bookly cannot unilaterally return money from its own account. However, Bookly will: • Immediately suspend and permanently remove the Hostel Owner; • Provide the student with all transaction records for use in a police report or legal proceedings; • Cooperate fully with law enforcement and regulatory authorities, including the Ghana Police Service and the Bank of Ghana's Consumer Protection Unit; • Pursue the Hostel Owner through available legal and contractual remedies on behalf of affected students. Bookly encourages any defrauded student to file a report with the Ghana Police Service and the Bank of Ghana's Consumer Protection Unit.
8.4 Protecting Hostel Owners from Student Misconduct
• No refund after move-in: A student who has taken possession has no refund entitlement regardless of reasons. • Balance is a direct obligation: A student's failure to pay the balance is a direct breach of their agreement with the Hostel Owner. • False complaints: A student who makes false complaints will have their account investigated and may be suspended or banned. • Index number on record: Students provide their university index number at booking, creating an accountable record.
8.5 If an Owner is Suspended Before Completing a Refund
Where a Hostel Owner is suspended or permanently removed from the platform before a refund obligation has been completed, Bookly will: • Provide the affected student with a written record of the transaction, the refund obligation, the cancellation reason, and the evidence Bookly relied on; • Provide any contact details of the Hostel Owner that Bookly is lawfully able to disclose; • Issue a written statement that the student is entitled to the refund and that Bookly has determined this through its own dispute process. This statement is intended to support the student's own claim, civil action, or police report against the former Hostel Owner. Bookly cannot guarantee recovery of funds from a removed Hostel Owner and does not substitute its own funds for the owner's refund obligation.
9. Prohibited Conduct
Students must not: • Provide false personal details, index numbers, or institutional affiliations; • Initiate a chargeback without first raising the matter with Bookly; • Occupy a room without completing payment as agreed; • Make false or malicious complaints against Hostel Owners; • Arrange bookings or payments outside the Bookly platform; • Book a room with no intention of occupying it. Hostel Owners must not: • List rooms that are already occupied, sold, or unavailable; • Post photos or descriptions that do not accurately represent the room; • Accept a deposit through Bookly and demand additional payment outside the app; • Contact students to cancel or redirect payments outside the platform; • List the same room multiple times to collect multiple deposits; • Retaliate against students who raise legitimate complaints; • Refuse to process valid pre-move-in refunds as required under Section 7; • Use student personal data (phone, email, index number) shared during a booking for any purpose other than managing that specific accommodation. This means no marketing, no resale, no contact about unrelated services, no contact about future tenancies without explicit student consent.
10. Dispute Resolution
10.1 Raising a Dispute
Any student or Hostel Owner with a dispute must: 1. First attempt to resolve the matter directly with the other party; 2. If unresolved within 48 hours, submit a formal dispute to support@booklyapp.co with subject: "Dispute — [Booking ID] — [Your Name]"; 3. Include all relevant evidence: screenshots, payment receipts, photos, and a clear description of the complaint.
10.2 Bookly's Investigation Process
Upon receipt of a formal dispute, Bookly will: • Acknowledge receipt within 48 hours; • Notify the other party and request their response within 48 hours; • Review all evidence and issue a determination within 7 business days; • Communicate the outcome to both parties in writing. Bookly's determination is final within the platform. It does not constitute a legal judgement and does not prevent either party from seeking legal remedies through the Ghanaian court system.
10.3 External Escalation
If Bookly's internal process does not resolve the dispute to your satisfaction, you may also escalate to: • Bank of Ghana Consumer Protection Unit — for payment-related disputes (consumer.protection@bog.gov.gh); • Ghana Police Service — for suspected fraud or criminal conduct; • Data Protection Commission — for matters concerning your personal data (dataprotection.org.gh); • The courts of Ghana — for any other legal remedy.
10.4 Governing Law & Jurisdiction
These Terms are governed by the laws of the Republic of Ghana, including the Electronic Transactions Act 2008 (Act 772) and, where applicable, the Rent Act 1963 (Act 220). Any dispute that cannot be resolved through Bookly's internal process shall be subject to the non-exclusive jurisdiction of the courts of Ghana.
11. Intellectual Property
All content on the Bookly platform — including the app design, logo, software code, user interface, text, and graphics — is the property of Bookly or its licensors. You may not: • Copy, reproduce, or distribute Bookly's content without prior written consent; • Reverse-engineer or attempt to extract the source code of the Bookly app; • Use Bookly's name, logo, or branding without prior written consent. Hostel Owners retain ownership of photos and content they upload. By uploading content, Hostel Owners grant Bookly a non-exclusive, royalty-free licence to display that content on the platform.
12. Limitation of Liability
To the fullest extent permitted by Ghanaian law, Bookly's total liability shall not exceed the platform commission fee received in connection with the specific booking giving rise to the claim. Bookly shall not be liable for: • Any loss arising from a Hostel Owner's failure to refund a student; • Any loss arising from a student's failure to pay an outstanding balance; • Changes to listing content or property conditions occurring after Bookly's initial verification; • Any personal injury or property damage at a hostel property; • Any failure or interruption of the Paystack payment service; • Any indirect, consequential, or punitive damages; • Any loss arising from payments made outside the Bookly platform. Nothing in this clause limits or excludes: • Bookly's liability for fraud, wilful misconduct, or gross negligence; • Any liability that cannot be excluded under mandatory Ghanaian law; • Your rights as a data subject under the Data Protection Act 2012 (Act 843); • Your rights as a party to an electronic transaction under the Electronic Transactions Act 2008 (Act 772); • Any non-waivable rights under the Rent Act 1963 (Act 220) where applicable.
13. Account Termination
Bookly reserves the right to suspend, restrict, or permanently terminate any user account at any time for reasons including breach of these Terms, fraudulent or abusive conduct, providing false information, failure to honour refund obligations, or receipt of multiple substantiated complaints. Users may request account deletion by contacting support@booklyapp.co. Active bookings must be resolved before an account can be deleted. Certain records may be retained for legal compliance purposes — see the Privacy Policy, Section 5 (Data Retention).
14. Changes to These Terms
Bookly reserves the right to update these Terms at any time. Material changes will be communicated via in-app notification and/or email at least 14 days before taking effect. Continued use of the platform after the effective date constitutes acceptance of the revised Terms.
